Terms and Conditions

NO PURCHASE NECESSARY. TRE Wellness, LLC (“Sponsor”) is sponsoring this Contest which shall run on the Instagram social media platform (collectively the “Promotion”). These Terms and Conditions shall govern and control your participation in the Promotion. The starting date and time for this Promotion and the details for participation are included herein. To enter this Promotion, you must (i) produce and publish a creative, funny video of no more than 30 seconds in duration on your Instagram account, (ii) tag @therealtrehouse on your video submission, (iii) send @therealtrehouse a direct message (DM) via Instagram (as applicable) containing the word “Submitted”, and (iv) opt-in to receive further communications from Sponsor by replying to Sponsor’s direct message (DM) with your email address and clicking “join email list”. An entry submitted in compliance with the foregoing and ALL other terms in these Terms and Conditions shall be considered an “Entry”.
PROMOTION LIMITATIONS. Unless specified otherwise, only one (1) Valid Entry is allowed per person, and you may only use one (1) Instagram account to participate. Each complete and Valid Entry qualifies as an entry to the Promotion.
PROMOTION PERIOD. The opportunity to participate in this Promotion and submit your entry opens at 12:01am pacific time on November 15, 2024. This Promotion closes at 11:59pm pacific time on December 5, 2024. All Entries must be properly submitted and received by Sponsor during the Promotion Period.
ELIGIBILITY. To participate, you must be an Instagram user aged 21 and over who is a legal resident of the United States at the time of entry. Void where prohibited. Employees of Sponsor or any of Sponsor’s affiliates and members of their immediate families, and those with whom they reside, are not eligible to participate. “Immediate family” means spouse, mother, father, in-laws, grandmother, grandfather, brother, sister, children or grandchildren – or those individuals living in the same household. This Promotion is subject to all applicable federal, state, and local laws. Businesses, associations, or other groups are not eligible. Anyone in Sponsor’s sole discretion that is found to be using multiple social media accounts or email addresses to participate or is participating in an attempt to hijack or interfere with the Promotion will be ineligible, and any applicable Entries will be invalidated.
All video submissions to the Promotion must comply with the applicable content restrictions and limitations set forth by Instagram. Additionally, the submissions must only appeal to viewers aged 21 or over (cannot appeal to youth).
REQUIRED REPRESENTATIONS AND WARRANTIES. You must meet all of the following requirements. Failure to do so may result in your disqualification.
By entering this Promotion, you represent and warrant with regard to your Entry and video submission:
It is your own original work. Each Entry must not contain any material that would violate or infringe upon the rights of any person or entity, including without limitation copyrights, trademarks or rights of privacy or publicity, or that is defamatory, threatening, indecent, obscene or offensive, or that is unlawful, in violation of or contrary to any applicable laws or regulations, or which requires a license from any third party.
You represent that you have the express written consent of any identifiable person(s) appearing or referenced in your Entry to their Persona (defined below) being used in the manner set forth in these Terms and Conditions, including Sponsor’s, or Sponsor’s affiliates, right to use your Entry for any future commercial purpose without restrictions or limitations.
Upon request, you agree to obtain written consent of any such person(s) for Sponsor, or Sponsor’s affiliates, if the form requested by Sponsor.
You represent that any identifiable person(s) appearing or referenced in your Entry is(are) aged 21 or over.
You represent that, other than TRE HOUSE products and brand names, your Entry does not reference any products or services of any company or entity or any third-party trademarks, logos, copyrights, trade dress or promotion of any brand, product or service.
You represent that your Entry is appropriate for public viewing. Without limiting the foregoing, your Entry is not lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, or otherwise containing content that is inappropriate or objectionable in the sole discretion of Sponsor. Your Entry must also not disparage or cast a negative light on any person, entity, or brand, product, or service.
Your Entry complies with all of the Sponsor’s Terms and Conditions as well as Instagram’s requirements and terms regarding use of their services.
Sponsor reserves the right in its sole discretion to invalidate any Entry for the Promotion if it believes the Entry violates or potentially violates any of the foregoing requirements or any other provision of these Terms and Conditions or any other rules provided by Sponsor.
You agree to reimburse Sponsor in full for any losses, damages, and expenses, including reasonable legal fees that Sponsor may sustain from the breach of a representation or warranty made by you. By entering, you warrant that your Entry complies with the requirements set out herein. By entering, you hereby grant to Sponsor a perpetual, irrevocable, exclusive, worldwide, royalty-free, sub-licensable, freely assignable license to reproduce your Entry and to otherwise use, exploit, copy, modify, adapt, edit, publish and display the Entry in any form, manner, venue, media or technology now known or later developed for any and all purposes, including, without limitation, for purposes of commercial or trade purposes, advertising, marketing, and promotion as Sponsor and its licensees or assignees determine, without further compensation, notification, or permission. Further, by entering, you hereby waive any moral rights you may have in any Entry in favor of the Sponsor.
By submitting your Entry you also grant to Sponsor the worldwide, perpetual, irrevocable, fully sub-licensable, and freely transferable right, but not obligation, to use any and all names, identities, Instagram handle(s), titles, likenesses, distinctive appearances, physical likenesses, images, portraits, pictures, photographs (still or moving), screen personas, voices, vocal styles, statements, gestures, mannerisms, personalities, performance characteristics, biographical data, signatures, and any other indicia or imitations of identity or likeness listed, provided, referenced, or otherwise contained in the Entry and/or submitted video (all attributes, collectively, per person, a “Persona”) for purposes of advertising and trade, in any format, medium, or technology now known or later developed without further, notice, approval, or compensation, except where prohibited.
WINNER SELECTION. Winner selection will be chosen from the pool of valid Entries. There will be one (1) winner of the Prize. Winner selection will be based on the following criteria which will be equally weighted by the Judging Panel: (i) humorous but tasteful presentation of the TRE HOUSE products; (ii) creativity in presenting or displaying the TRE HOUSE products; and (iii) video production and quality. Sponsor will select a panel of three (3) qualified judges (the “Judging Panel”) to evaluate, at their sole discretion, each eligible entry based on the listed criteria. A winner will be selected on December 9, 2024. Provided that the winner is confirmed and all required forms are timely received, the winner will be announced on December 15, 2024 via Sponsor’s Instagram accounts.
PRIZE. One (1) Prize will be awarded. The Prize consists of (i) an assorted bundle of TRE HOUSE products with a total MSRP value of $300.00 USD and (ii) a monetary prize of $1,000.00 USD (collectively the “Prize”). Prize details are subject to availability in which case a prize of equal value may be substituted at Sponsor’s sole discretion. Sponsor will determine, at their sole discretion, all details regarding the assorted bundle of TRE HOUSE products (e.g. size, amount, strength, and form). The Prize winner may be required to provide their valid Social Security number to Sponsor for tax purposes or complete an IRS W-9 form in order to receive the Prize. Entrants are solely responsible for all federal, state, and local taxes based on the Prize value and, as applicable, will be issued an IRS Form 1099 based on the Prize value determined by Sponsor. If the Prize is not claimed in accordance with these Terms and Conditions, the Prize will not be sent to the winning entrant and will remain the property of Sponsor. Sponsor may require the Prize winner to complete, sign and return an Affidavit of Eligibility, Liability Release, and Publicity Release as well as other applicable documents. Any required documents or forms must be completed and returned to Sponsor within seven (7) days of the date and time of issuance to the Prize winner.
DISCLAIMER OF WARRANTIES.
TO THE FULL EXTENT PERMITTED BY LAW, THIS PROMOTION AND THE PRIZE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND ARE NOT WARRANTED IN ANY WAY. YOU EXPRESSLY AGREE THAT YOU PARTICIPATION IN THE PROMOTION, INCLUDING RECEIPT, USE, AND REDEMPTION OF THE PRIZE, IS AT YOUR OWN RISK. SPONSOR MAKES NO REPRESENTATIONS OR WARRANTINES OF ANY KIND, EXPRESS OR IMPLIED, RELATING TO THE PROMOTION OR THESE TERMS AND CONDITIONS.
Certain state laws may not allow limitations on implied warranties. If these laws apply to you, some or all of the above disclaimers, exclusions or limitations may not apply and you may have additional rights.
NOTIFICATION. Awarding the Prize is subject to verification of eligibility and compliance with these Terms and Conditions. By entering this Promotion, you agree that the Sponsor may contact you using the email address, phone number, social media account (including DM) or other contact information you provide with the Entry. You must adjust your social media account settings to allow for receipt of messages from Sponsor. Accordingly, entrants should set their Instagram account settings to “Public” and take any further action(s) necessary to ensure receipt of any communication(s) from Sponsor. It is your responsibility to take such steps. Failure or inability to receive any message(s) from Sponsor may be deemed a failure to comply with these Terms and Conditions and could result in your disqualification from the Promotion.
Sponsor shall not be liable for any lost, misdirected, or otherwise unreceived or illegible messages from entrants. If a potential winner cannot be contacted, is disqualified, or fails to timely execute and return any required forms, an alternate winner may be selected from the remaining pool of Entries.
AN ENTRANT IS NOT A WINNER UNLESS AND UNTIL SPONSOR HAS COMPLETED ITS VERIFICATION OF ENTRANT’S ELIGIBILITY AND ENTRANT COMPLIES WITH THESE TERMS AND CONDITIONS AND ANY OTHER APPLICABLE RULES.
CONDUCT. All Entrants agree to be bound by these Terms and Conditions, Sponsor’s Privacy Policy, Instagram’s Terms of Use (as applicable), Instagram’s Privacy Policy (as applicable), and all discretionary decisions of Sponsor. Sponsor reserves the right to disqualify any person it finds to be in violation of these Terms and Conditions. Sponsor is not liable if any entrant’s social media account is suspended or terminated by Instagram as a result of such entrant’s participation in this Promotion. Sponsor will collect, use, and disclose the personal information you provide when you enter the Promotion for the purposes of administering the Promotion and Prize fulfillment. By participating in this Promotion, entrants consent to such collection, use, and disclosure of your personal information. Information collected from participants is subject to Sponsor’s Privacy Policy.
RELEASE and INDEMNIFICATION. By entering this Promotion, you agree to release, discharge and hold harmless Sponsor, Instagram, and each of their respective affiliates, directors, officers, employees, agents, licensees, sublicensees, and assigns (the “Released Parties”) from any claims, losses, and damages arising out of, or relating to, your Entry, your participation in the Promotion or any Promotion related activities, and the acceptance and use, misuse or possession of any prize awarded. The foregoing includes, without limitation, any claim for personal injury, property loss or damage or death arising in any way in connection with the Promotion. Sponsor is not responsible for late, lost, incomplete, irregular, or misdirected Instagram posts, emails, direct messages, replies, or for any computer, internet or technical malfunctions or human errors that may occur. If for any reason, the Promotion is not capable of running as planned, including due to a computer virus, bug, tampering, unauthorized intervention, or other technical failures of any sort, Sponsor may cancel, terminate, modify or suspend the Promotion. Sponsor also reserves the right to withdraw the Promotion at any time.
CONSTRUCTION & GOVERNING LAW. The invalidity or unenforceability of any provision of these Terms and Conditions shall not affect the validity or enforceability of any other provision. In the event that any such provision is determined to be invalid or otherwise unenforceable, these Terms and Conditions shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. Any disputes arising under this Promotion or these Terms and Conditions will be governed by the relevant federal statutes and regulations and the internal laws of the State of Delaware.
ARBITRATION. Sponsor and each entrant agree that any claim or dispute between the parties, or between a party and any agent, employee, successor, or assign of the other, related to the Promotion and/or these Terms and Conditions shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with the Consumer Arbitration Rules then in effect. The AAA rules are available at adr.org.
You will not be entitled to join or consolidate claims by or against other persons or entities in court or in arbitration or otherwise participate in any claim as a class representative, class member or in a private attorney general capacity.
Any claim you may have must be commenced within one (1) year after the claim accrues; otherwise, such claim is permanently barred.
